1. Definitions

• 1.1 'Platform' means the digital distribution system, website, and associated technology provided by Midpiller, enabling Users to distribute, promote, and monetize their musical works.
• 1.2 'Services' refer to all features offered by Midpiller, including digital music distribution, royalty collection, copyright management, promotional campaigns, analytics, and customer support.
• 1.3 'User' means any individual or legal entity using or accessing the Platform.
• 1.4 'Content' includes but is not limited to audio files (songs), album artwork, metadata, lyrics, music videos, and other digital media uploaded by the User.
• 1.5 'Stores' or 'DSPs' refer to Digital Service Providers such as Spotify, Apple Music, YouTube, Amazon Music, and similar platforms where content is distributed.
• 1.6 'Distribution Plan' is the specific plan or package selected by the User determining the features, royalties, services, and payment terms.

2. Eligibility

2.1 You must be at least 18 years of age to register an account or use the Platform. If you are under 18, you may only use the Platform with the active involvement and consent of a parent or legal guardian.

2.2 By registering for an account, you affirm that:

• You have full legal capacity to enter into these Terms.
• You possess or control the necessary rights, licenses, or permissions to distribute your Content.
• You will provide true, accurate, and complete registration information.

2.3 If you are acting on behalf of a business or organization, you warrant that you have authority to bind such entity to these Terms.

3. Account Registration and Access

3.1 To access full features of the Platform, you must create an account. You agree to:

• Maintain the confidentiality of your account credentials.
• Notify Midpiller immediately of any unauthorized use.
• Be fully responsible for all activities under your account.

3.2 Midpiller reserves the right to:

• Suspend or terminate accounts for suspicious or malicious activity.
• Reject any registration deemed fraudulent or in violation of our policies.

4. Content Rights and Licenses

4.1 By uploading Content to the Platform, you grant Midpiller a non-exclusive, worldwide, royalty-free license to:

• Distribute the Content to DSPs.
• Promote and market the Content.
• Collect and process revenues.
• Use the Content in promotional or demo materials (with your consent).
• Sub-license the Content to DSPs under standard terms.

4.2 You represent and warrant that:

• You own or control all necessary rights to the Content.
• The Content is free of encumbrances, and you have not assigned, licensed, or transferred it to a third party in a conflicting way.
• The Content does not infringe any third-party rights, including copyrights, trademarks, or moral rights.

4.3 You acknowledge that Midpiller does not guarantee DSP acceptance or placement of your Content.

5. Payments, Fees, and Revenue Sharing

5.1 Revenue collected from DSPs on your behalf is subject to the specific Distribution Plan you have subscribed to.

5.2 Payouts are:

• Made monthly or quarterly, depending on plan.
• Subject to a minimum threshold (e.g., ₹1000 or USD equivalent).
• Paid through supported methods like UPI, direct bank transfers, Wise, or PayPal.

5.3 Midpiller may deduct:

• Transactional and administrative fees.
• Taxes as required by law.
• Adjustments for DSP disputes, refunds, or chargebacks.

5.4 Users are responsible for all applicable tax reporting and payments in their jurisdiction.

6. Promotional Features and Credits

6.1 Promotional services or tools offered by Midpiller (e.g., playlist pitching, email campaigns) may require additional fees or be plan-specific.

6.2 Any promotional credit issued is non-refundable, non-transferable, and may expire as per stated terms.

7. Prohibited Conduct

You agree not to:

• Upload or distribute Content that you do not own or have rights to.
• Use bots, streaming farms, or artificial means to manipulate revenue or analytics.
• Tamper with the Platform or interfere with its functionality.
• Use the Platform for illegal, deceptive, or harmful activities.

8. Intellectual Property

8.1 Midpiller retains all rights, title, and interest in its branding, Platform, software, and content, excluding User Content.

8.2 You agree not to use, replicate, or distribute any part of the Platform without prior written permission.

8.3 All goodwill arising from use of Midpiller's trademarks shall inure to its benefit.

9. DMCA and Copyright Complaints

9.1 If you believe content infringes your rights, notify us via support@midpiller.com with supporting documentation.

9.2 Midpiller will act in accordance with DMCA and Indian copyright law, including removing infringing content and notifying affected Users.

9.3 Repeated infringement may lead to permanent account suspension.

10. Privacy and Data Use

10.1 Midpiller may collect, use, and store your personal information in line with our Privacy Policy.

10.2 We may use aggregate, de-identified data for research, marketing, and business development.

10.3 By using the Platform, you grant Midpiller the right to access your data to deliver services, process payments, and provide support.

11. Warranties and Liability

11.1 The Platform and Services are provided "as is" and "as available" without warranties of any kind.

11.2 Midpiller disclaims any warranty of uninterrupted access, data accuracy, merchantability, or fitness for a particular purpose.

11.3 Midpiller shall not be liable for:

• Lost profits, indirect or consequential damages.
• System failures, data loss, or third-party service disruptions.
• Unauthorized use of your account or Content.

12. Indemnification

You agree to indemnify and hold harmless Midpiller, its employees, directors, and partners from any claims, damages, or losses arising out of:

• Your breach of these Terms.
• Your Content or activities.
• Violation of any law or third-party rights.

13. Modification and Termination

13.1 Midpiller may update these Terms with prior notice via email or dashboard.

13.2 Continued use after changes means acceptance of the updated Terms.

13.3 Either party may terminate the agreement with 14 days’ notice. Final payouts will be processed after accounting for any outstanding liabilities.

14. Governing Law and Dispute Resolution

14.1 These Terms shall be governed by the laws of India.

14.2 Disputes will be subject to the exclusive jurisdiction of the courts of Muzaffarnagar, Uttar Pradesh.

14.3 Parties shall first attempt to resolve disputes amicably before seeking judicial remedy.
